Practice

Jones Waldo’s Emerging Companies Practice Group assembles customized legal teams to meet the unique objectives of each client. Our group’s attorneys have extensive experience in working with start-up, emerging companies. An emerging company is faced with many different legal issues, such as business organization choice, employment matters, financing, intellectual property protection, real estate leasing or acquisition, environmental concerns and the tax consequences of its decisions. Recognizing this, we select client team members whose experience and skills apply to your particular needs. The result is a complete, cost-effective, one-stop solution for the rapidly growing, emerging company.

Business Organization

Choosing the form of your new business is critically important. We will counsel you on the best options for your company. Our attorneys are skilled in the formation of limited liability companies, partnerships, corporations, joint ventures, trade associations, cooperatives and consortiums. We can help you organize your board and officers or managers. Our experience covers all elements of organizational documents, government filings, minutes, resolutions, buy-sell agreements, and other contracts. Our lawyers are experienced in handling mergers, acquisitions and reorganizations of public and private companies.

Employment

A new company must get off to a good start with its employees. We can counsel you regarding employment compensation as well as issues regarding confidentiality of trade secret and proprietary information, invention assignment, and non-competition. We can help you implement a stock incentive plan and any necessary agreements with employees. We can also counsel you regarding policies and procedures, employee handbooks, and equal employment opportunity laws.

Financing

Most emerging companies need money. We have attorneys who can introduce your company to potential money sources and are skilled in completing the financing transactions. Whether you obtain money from angel investors, venture capitalists, the SBA, or even your own relatives and friends, we can help you through the money-raising process.

Intellectual Property

A technical business must protect its technology. We have an active intellectual property practice in the United States and foreign countries. Included in our service areas are patent, trademark and copyright law. We are also experienced in licensing technology, preparing patentability opinions, drafting confidentiality agreements, and litigating intellectual property matters.

Real Estate

A new business will usually have some need to lease or buy property and facilities. We regularly negotiate and prepare documents related to the acquisition and sale of real property (commercial and residential), commercial leasing (including shopping center and office building and build-to-suit leasing), and the development of real property throughout the United States. Our attorneys also have experience in the area of construction, boundary law, easements, surveys, title review, and insurance. We have performed extensive real estate work in most of the Western Region states, including Utah, Nevada, Arizona, Idaho, Wyoming, Montana, California, and Colorado.

Environmental

Frequently, a start-up company will have environmental concerns. We serve clients in the following areas: assessments in connection with real estate acquisitions, leases, sales and financing; remediation; environmental litigation involving Superfund sites and disputes among potentially responsible parties; compliance; development of environmental policies and procedures; development of standard form environmental agreements; negotiation and documentation of environmental agreements with governmental authorities, environmental consultants and remediation contractors.

Tax

A new company needs good tax advice to conserve its scarce or expensive resources. We provide advice and counsel on federal, state and local tax matters, not only for your business entity but also for its founders and owners. The tax group represents individuals and corporations with such matters as the tax aspects related to the acquisition and sale of assets, mergers, tax-free exchanges involving real estate, qualified and unqualified pension and profit sharing plans, executive compensation plans, insurance trusts, living and testamentary trusts, wills, probates, guardianships and trust litigation.  We represent clients before the IRS, the Utah State Tax Commission and other taxing authorities relating to tax controversies including audits, appeals and litigation.
