We utilize the appropriate level of skills and experience to ensure both quality work and efficiency. Inbound Investments

  • Our clients benefit from our advice on foreign investment in manufacturing, commerce, energy, banking, real estate, and securities in the U.S. and abroad. Our multi-dimensional practice teams help to choose the proper structure for an investment, including:
    • Direct acquisitions of U.S. companies
    • The establishment of U.S. branches, subsidiaries, partnerships, and joint ventures

Outbound Investments

  • We represent U.S. companies that are engaged in overseas acquisitions and investments and frequently advise major U.S. companies on the preferred structure of overseas investments and subsidiaries for U.S. tax and financial purposes.

Joint Ventures

  • We structure joint ventures of all kinds in the United States and overseas, including multi-national ventures. We advise on the appropriate form, whether corporation, partnership, limited liability company or other entity that may be organized under foreign law, taking into account the relevant tax, finance and other issues that may affect the formation, operation, sale and dissolution of the venture.

Intellectual Property

  • We are experienced in intellectual property matters, including patent, copyright, trademark and trade secret protection. Clients value our globally-oriented advance planning strategies that are designed to defend their intellectual property rights or to enforce their rights to sell products or services.

Environmental

  • Our environmental team analyzes contractual obligations, conducts investigations and reviews, and advises clients on permitting, licensing and compliance.
  • We provide advice on the disclosure of environmental issues and the conduct due diligence into environmental matters involving the financing, sale, and acquisition of land and commercial or industrial properties in South America and Asia, as well as in Canada and Mexico.
  • We also advise clients on environmental risk management and negotiate risk allocation.
  • Our environmental clients include financial institutions, engineering and construction companies, electric and gas utilities, petroleum and chemical companies, manufacturers, hospitals and environmental consulting firms.

Europe

  • Members of our practice group that focus on matters in the EU are fluent in Spanish, Italian, Portuguese, French, Russian, German and Arabic.
  • Work has included out – bond and in – bound commercial transactions including negotiations, documentation,  site location and product distribution and inventory development, product labeling compliance and internet privacy and use compliance  in either the local language or in English, depending on the needs of the transaction and the preferences of our clients.
  • We also assist in the selection of local counsel and auditors.  Much of our work has focused on matters in Spain, United Kingdom, France, Belgium and Germany.

Asia/Pacific

  • Jones Waldo is currently expanding its focus and reach into matters involving China with its recently announced correspondent office affiliation with Faegre Baker & Daniels, in Shanghai and Beijing.
  • Over the past two years, Jones Waldo has assisted in the facilitation of manufacturing opportunities, the securing of trademarks and related intellectual property rights as well as helped in the setting of representative offices for US companies in mainland China.
